Basic Requirements for Company Registration in Chennai:

Choose the Type of Company:

The first step towards company registration in Chennai is to determine the type of company you want to establish. The options include a private limited company, public limited company, one-person company (OPC), partnership firm, limited liability partnership (LLP), or a sole proprietorship. Each type has its own set of requirements and advantages, so it’s important to research and select the most suitable structure for your business.

Shareholders:

To register a Private Company in Chennai, there should be a minimum of two shareholders. The first shareholder(s) should execute the Memorandum and Articles of Association for registering the Company

Allotment of Director Identification Number (DIN)

Application in Form DIN-1 shall be made online and provisional DIN number of the person intending to become director of the Company shall be generated.

Acquiring Digital Signature Certificate (DSC)

Digital Signature Certificate is acquired by submitting the application with prescribed fee to one of the registered vendors. On submission of documents, DSC is allotted in 24 hours.

Name Approval of the Company

An application in Form No. 1A needs to be filed with the Registrar of Companies (ROC) online through the Digital Signature of one of the proposed directors. On submitting the application, the ROC scrutinizes the same and sends the approval/objections in about 2 business days to the applicant through e-mail.

Registered Office Address

A registered office address is a crucial requirement for company registration in Chennai. It is the official address where all communication and notices from government authorities will be sent. The company’s registered office address must be valid and accessible during business hours.

Incorporation Documents

To complete the company registration process, certain documents need to be prepared and submitted to the Registrar of Companies. These documents include the duly signed and stamped MoA and AoA, address proof of the registered office, identity proof and address proof of the directors and subscribers, and other supporting documents as required.

Procedure for Registration of the Company

We are allowed 60 days after name approval of the company to complete the following documents. Upon submission of the following documents the company registration is usually granted within 3 working days.

An application for registration should be submitted to the Registrar of Companies with the following documents:

  • Memorandum of Association;
  • Articles of Association;
  • A declaration in Form 1 by a person named in the articles of the proposed company as a director, manager, or secretary of the company,;
  • Form 32 for appointment of Directors with their consent letters
  • Form 18 provides information about the registered office
